Important Notice

By accessing, registering for, downloading, or using the Elodos website, mobile application, or related services (the "Platform"), you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and Elodos.

Elodos is a trading name of Omega Om Ltd, a company registered in England and Wales (Company Registration Number: 16980858), with its registered office at [Registered Address], United Kingdom.

THE PLATFORM IS DESIGNED EXCLUSIVELY FOR PEER-TO-PEER, NON-COMMERCIAL USE BY INDIVIDUAL TRAVELLERS. COMMERCIAL OPERATORS, COURIER SERVICE PROVIDERS, LOGISTICS COMPANIES, FREIGHT FORWARDERS, AND THEIR REPRESENTATIVES OR PROXIES ARE STRICTLY PROHIBITED FROM USING THIS PLATFORM.

1. Definitions and Interpretation

1.1 Definitions

In these Terms, unless the context otherwise requires, the following expressions have the following meanings:

"Account"
means a registered user account created on the Platform, which is personal to the User and non-transferable.
"Amigo"
means a User who responds to a Request by agreeing to carry a Parcel or provide Travel Companion services on a personal, non-commercial basis. An Amigo must be a natural person travelling for their own purposes and not acting as a commercial courier or logistics provider.
"Applicable Laws"
means all applicable laws, statutes, regulations, rules, orders, directives, treaties, decrees, and judgments of any jurisdiction (and specifically includes jurisdictions of origin, transit, and destination of Parcel / users acting as travel companions) including without limitation data protection laws (including the UK GDPR, EU GDPR, India Digital Personal Data Protection Act 2023), consumer protection laws, customs laws, airline regulations, immigration laws, anti-money laundering laws, cyber security laws, and export control regulations.
"Authorized Use"
means the use of the Platform solely for personal, non-commercial purposes in accordance with these Terms, including creating or responding to Requests for Parcel transportation or Travel Companion services as an individual traveller, and excludes any commercial, proxy, automated, or bulk use of the Platform.
"Commercial Operator"
means any person, entity, or enterprise that operates or intends to operate a business involving courier services, logistics, freight forwarding, parcel delivery, travel agency services, or any similar commercial activity, and includes any representative, agent, employee, contractor, or proxy acting on behalf of such person or entity.
"Company" "we", "us", or "our"
means Elodos, a trading name of Omega Om Ltd.
"Connection Fee"
means the fee charged by Elodos when a Lancer and Amigo agree to connect through the Platform, as displayed at the time of transaction.
"Content"
means any text, images, photographs, graphics, videos, audio, data, information, messages, reviews, ratings, or other materials submitted, posted, uploaded, or otherwise made available by Users through the Platform.
"Cyber Security Incident"
means any actual or suspected unauthorized access, breach, intrusion, attack, or compromise of the Platform, its systems, networks, or User Data, including but not limited to hacking, malware infection, denial of service attacks, data exfiltration, ransomware, phishing, or any other cyber threat or vulnerability exploitation.
"Data Breach"
means any breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Personal Data or User Data transmitted, stored, or otherwise processed through the Platform.
"Data Protection Laws"
means the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, the EU General Data Protection Regulation (EU GDPR), the India Digital Personal Data Protection Act 2023 and Rules thereunder, the Data (Use and Access) Act 2025, the Privacy and Electronic Communications Regulations 2003, and any other applicable data protection and privacy legislation in any jurisdiction where the Platform operates or Users are located.
"Force Majeure Event"
means any event beyond the reasonable control of a party, including but not limited to: acts of God; natural disasters; pandemic or epidemic; war, terrorism, or armed conflict; riots, civil unrest, or public disorder; strikes, lockouts, or industrial action; government actions, sanctions, or embargoes; power failures or energy shortages; internet or telecommunications failures; Cyber Security Incidents affecting critical infrastructure; supply chain disruptions; or any other circumstances that could not reasonably have been foreseen or avoided.
"Intellectual Property Rights"
means all patents, copyrights, trademarks, service marks, trade secrets, design rights, database rights, domain names, moral rights, know-how, and any other intellectual property rights (registered or unregistered) throughout the world, and all applications and rights to apply for any of the foregoing.
"Lancer"
means a User who initiates a Request to send a Parcel or seek a Travel Companion through the Platform on a personal, non-commercial basis. A Lancer must be a natural person acting for personal purposes and not on behalf of any Commercial Operator.
"Non-Commercial Use"
means use of the Platform by individual natural persons for personal purposes only, excluding any use that is part of, connected to, or in furtherance of any business, trade, profession, or commercial enterprise, whether for profit or otherwise.
"Parcel"
means any envelope, package, item, or goods that a Lancer requests to be transported by an Amigo, which must be of a personal nature and not commercial goods intended for resale or business purposes.
"Personal Data"
has the meaning given in the UK GDPR and EU GDPR and includes any information relating to an identified or identifiable natural person, and additionally includes "personal data" as defined under the India Digital Personal Data Protection Act 2023.
"Platform"
means the Elodos website (www.elodos.com), mobile applications, APIs, databases, software, and all related services, features, and functionalities provided by Elodos.
"Platform Services"
means all services provided by Elodos through the Platform, including but not limited to: User registration and Account management; matching and connecting.
"Privacy Policy"
means our privacy policy, available on the Platform, which explains how we collect, use, store, protect, and share Personal Data and User Data.
"Prohibited Items"
means items that are illegal, restricted, dangerous, or prohibited from being transported by air, as detailed in Schedule A of these Terms.
"Proxy User"
means any person who creates an Account, posts Requests, or uses the Platform on behalf of, or for the benefit of, another person or entity (particularly a Commercial Operator), or who allows their Account to be used by others for such purposes.
"Request"
means a posting by a Lancer seeking either Parcel transportation or Travel Companion services through the Platform.
"Request Creation Fee"
means any fee charged by Elodos for creating or posting a Request on the Platform, which may be charged to Lancers or Amigos as determined by Elodos from time to time.
"Sanctioned Person"
means any person or entity listed on sanctions lists maintained by the United Kingdom (HM Treasury), United States (OFAC), European Union, United Nations, or any other relevant governmental authority.
"Services"
has the same meaning as Platform Services.
"Suspicious Activity"
means any activity, behaviour, or pattern of use that, in Elodos's sole discretion, indicates or suggests: fraudulent intent; commercial or proxy use; violation of these Terms or Applicable Laws; potential money laundering or terrorist financing; identity fraud; abuse of Platform systems; coordinated inauthentic behaviour; automated or scripted activity; circumvention of security measures; or any other activity that poses a risk to the Platform, other Users, or third parties.
"Travel Companion"
means a service where an Amigo provides companionship and moral support to a traveller during their journey on a personal, non-commercial basis.
"User"
means any natural person who accesses, browses, registers for, or uses the Platform, whether as a Lancer, Amigo, or otherwise. Users must be individuals acting in their personal capacity and not as representatives of any Commercial Operator.
"User Agreement"
means any agreement entered into between a Lancer and an Amigo for the provision of Parcel transportation or Travel Companion services through the Platform.
"User Data"
means all data, information, and content that a User provides, submits, uploads, or generates through their use of the Platform, including but not limited to: Account information; Personal Data; Content; transaction history; communication records; behavioural data; device information; location data; and any other data collected through the Platform.

1.2 Interpretation

  1. References to "writing" or "written" include email and other electronic communications.
  2. References to statutes or statutory provisions include any subordinate legislation and any modification, amendment, or re-enactment thereof.
  3. The words "include", "includes", and "including" are to be construed without limitation.
  4. References to "days" mean calendar days unless otherwise specified.
  5. Headings are for convenience only and shall not affect the interpretation of these Terms.
  6. References to a "person" include any natural person, legal entity, partnership, unincorporated association, or governmental authority.
  7. Words in the singular include the plural and vice versa.

2. Platform Role and Scope of Services

2.1 Nature of the Platform

Elodos operates as an online peer-to-peer marketplace platform that enables individual Users to search, match, and connect for Parcel transportation and Travel Companion services. The Platform facilitates introductions between Lancers and Amigos but does not itself provide transportation, courier, logistics, or companion services.

THE PLATFORM IS EXCLUSIVELY FOR NON-COMMERCIAL, PEER-TO-PEER USE BETWEEN INDIVIDUAL TRAVELLERS. IT IS NOT A COMMERCIAL COURIER, LOGISTICS, OR FREIGHT SERVICE.

2.2 Platform Services

The Platform Services include:

  1. User registration, Account creation, and identity verification
  2. Request posting and browsing for Parcel transportation and Travel Companion services
  3. Matching and connecting Lancers and Amigos based on travel routes and requirements
  4. Secure messaging and communication facilitation between Users
  5. Payment processing and fee collection
  6. Customer support and dispute assistance
  7. Platform maintenance, security monitoring, and fraud prevention

2.3 Platform as Intermediary

Elodos acts solely as an intermediary and is not a party to any User Agreement between Lancers and Amigos. We do not:

  1. Control, direct, or supervise any User or their activities
  2. Guarantee the identity, background, or reliability of any User
  3. Verify the accuracy or completeness of any information provided by Users
  4. Assume responsibility for the conduct, actions, or omissions of any User
  5. Act as a courier, logistics provider, freight forwarder, customs broker, travel agent, or employment agency
  6. Provide insurance or guarantees for Parcels, travel arrangements, or User interactions
  7. Guarantee successful completion of any User Agreement or transaction
  8. Warrant, represent, or guarantee the safety, legality, quality, condition, or fitness for purpose of any Parcel or its contents
  9. Bear any responsibility for the conduct, acts, omissions, negligence, or wilful misconduct of any user during Parcel transportation or the provision of Travel Companion services
  10. Assume any liability, responsibility, or obligation for the physical transportation, carriage, handling, or delivery of any Parcel between Users.

2.4 No Employment or Agency Relationship

No employment, agency, partnership, joint venture, or fiduciary relationship is created between Elodos and any User, or between any Lancer and Amigo. Users are independent individuals acting on their own behalf and at their own risk.

2.5 Geographic Scope

The Platform is available globally, subject to local laws and regulations. Users are responsible for ensuring that their use of the Platform complies with all Applicable Laws in their jurisdiction, as well as the jurisdictions of origin, transit, and destination.

2.6 No Transportation Liability

Users expressly acknowledge and agree that any and all risks associated with the physical transportation of Parcels, including but not limited to loss, damage, regulatory non-compliance, customs violations, airline restrictions, and personal safety, are borne exclusively by the user, as the case may be, and not by Elodos.

Without limiting the generality of the foregoing, Elodos shall not be liable for any loss, damage, destruction, deterioration, theft, seizure, confiscation, delay, misdelivery, non-delivery, customs detention, regulatory action, fine, penalty, prosecution, injury, illness, death, or any other consequence whatsoever arising from or in connection with the transportation, carriage, handling, storage, or delivery of any Parcel, howsoever caused.

Elodos does not provide, undertake, manage, supervise, or assume any responsibility whatsoever for the physical transportation, carriage, handling, storage, or delivery of any Parcel. The transportation of Parcels is arranged exclusively between users on a peer-to-peer basis, and is the sole and exclusive responsibility of the users involved in the relevant User Agreement. Elodos's role is strictly limited to operating the Platform as a technology intermediary that facilitates introductions between Users.

2.7 No Liability for Travel Companion Services

Elodos does not provide, manage, supervise, endorse, or assume any responsibility whatsoever for the provision of any Travel Companion service or the conduct of any Amigo in connection therewith. Elodos does not owe, and expressly disclaims, any duty of care toward any Lancer, Amigo, child, accompanying parent or guardian, or any other person in connection with any Travel Companion service arranged through the Platform.

3. Eligibility and Account Registration

3.1 Eligibility Requirements

To use the Platform, you must:

  1. Be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is higher
  2. Be a natural person (not a corporation, partnership, or other legal entity)
  3. Have the legal capacity to enter into a binding contract
  4. Not be prohibited from using the Platform under any Applicable Laws
  5. Not be a Sanctioned Person or acting on behalf of a Sanctioned Person
  6. Not be a Commercial Operator or acting on behalf of a Commercial Operator
  7. Not be using the Platform as a Proxy User
  8. Possess valid identification documents and, where applicable, valid travel documents
  9. Intend to use the Platform solely for Non-Commercial Use and Authorized Use

3.2 Account Registration

To access certain features of the Platform, you must create an Account. When registering, you agree to:

  1. Provide accurate, current, and complete information
  2. Maintain and promptly update your Account information to keep it accurate and complete
  3. Maintain the security and confidentiality of your login credentials and not share them with any third party
  4. Accept full responsibility for all activities that occur under your Account
  5. Notify us immediately of any unauthorized use, security breach, or suspected compromise of your Account
  6. Ensure that your Account is used only for Authorized Use and Non-Commercial Use
  7. Not allow any other person or entity to use your Account or access your login credentials

3.3 Account Limitations

Each User may maintain only one (1) Account. You may not transfer, sell, assign, or delegate your Account to any other person or entity. Elodos reserves the right to merge, suspend, or terminate duplicate Accounts without notice or liability.

3.4 Identity Verification

Elodos may, at its sole discretion, require Users to complete identity verification processes. This may include providing government-issued identification, proof of address, biometric verification, video verification, or other documentation. Failure to complete verification may result in limited access to Platform features, Account suspension, or termination. Elodos is not liable for any delay or loss arising from verification requirements.

3.5 Account Monitoring and Review

Elodos reserves the right to monitor Accounts and Platform activity for compliance with these Terms, detection of Suspicious Activity, fraud prevention, and security purposes. Users consent to such monitoring as a condition of using the Platform.

4. User Obligations and Compliance

4.1 General Obligations

As a User of the Platform, you are obligated to:

  1. Comply with all Applicable Laws at all times, including laws of your jurisdiction and all jurisdictions of origin, transit, and destination
  2. Use the Platform only for Authorized Use and Non-Commercial Use
  3. Act honestly, lawfully, and in good faith in all interactions on the Platform
  4. Treat other Users with respect and conduct all interactions in a professional and courteous manner
  5. Provide accurate, truthful, and complete information in all communications and declarations
  6. Maintain the confidentiality and security of your Account credentials
  7. Report any Suspicious Activity, security concerns, or Terms violations to Elodos immediately
  8. Cooperate with Elodos and relevant authorities in any investigation of misuse, fraud, or illegal activity
  9. Keep records of your transactions and communications as required by Applicable Laws

4.2 Prohibited Activities

Users must not:

  1. Use the Platform for any unlawful, fraudulent, deceptive, or misleading purpose
  2. Violate any Applicable Laws, including customs, immigration, airline, data protection, and export control regulations
  3. Transport, request, or facilitate the transportation of Prohibited Items
  4. Engage in money laundering, terrorist financing, tax evasion, or sanctions evasion
  5. Engage in human trafficking, exploitation, or smuggling of any kind
  6. Post or transmit Content that is defamatory, obscene, threatening, harassing, discriminatory, or otherwise harmful
  7. Harass, threaten, stalk, abuse, or harm other Users or any third party
  8. Impersonate any person or entity or misrepresent your affiliation with any person or entity
  9. Provide false, inaccurate, or misleading information
  10. Interfere with, disrupt, or create an undue burden on the Platform or connected networks
  11. Attempt to gain unauthorized access to any part of the Platform, other Accounts, or connected systems
  12. Introduce viruses, malware, ransomware, or other harmful code to the Platform
  13. Collect or harvest information about other Users without their consent
  14. Use the Platform to conduct transactions outside of the Platform to circumvent fees
  15. Engage in any activity that could damage, disable, or impair the Platform
  16. Use the Platform as a Commercial Operator, courier service provider, logistics company, freight forwarder, or representative thereof
  17. Use the Platform as a Proxy User or on behalf of any Commercial Operator or business enterprise
  18. Use the Platform to send Parcels on behalf of any business or commercial enterprise
  19. Use automated scripts, bots, scrapers, or other automated means to access or interact with the Platform
  20. Create multiple Accounts or use false identities
  21. Circumvent, disable, or interfere with any security features or measures of the Platform
  22. Engage in any coordinated inauthentic behaviour or manipulation of Platform systems

4.3 Consequences of Breach

Any breach of these Terms, Applicable Laws, or prohibited activities may result in, without limitation:

  1. Immediate suspension or termination of your Account without notice
  2. Permanent ban from the Platform
  3. Forfeiture of any pending transactions or fees without refund
  4. Reporting to relevant law enforcement or regulatory authorities
  5. Legal action for damages, injunctive relief, or other remedies
  6. Recovery of costs, including legal fees, incurred by Elodos
  7. Liability for any losses, damages, or claims suffered by Elodos, other Users, or third parties

4.4 Breach Notification by Users

You must notify Elodos immediately (and in any event within 24 hours) if you become aware of or suspect:

  1. Any unauthorized access to or use of your Account
  2. Any breach of security affecting your Account or User Data
  3. Any violation of these Terms by yourself or other Users
  4. Any Suspicious Activity on the Platform
  5. Any legal or regulatory action that may affect your use of the Platform

5. License to Use the Platform

5.1 Grant of License

Subject to your compliance with these Terms, Elodos grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for Authorized Use and Non-Commercial Use in accordance with these Terms.

5.2 License Restrictions

You may not:

  1. Copy, modify, adapt, translate, or create derivative works of the Platform or any part thereof
  2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Platform
  3. Distribute, license, sell, lease, rent, or otherwise transfer the Platform or your access rights
  4. Use any automated means, including bots, scrapers, or crawlers, to access the Platform
  5. Remove, alter, or obscure any proprietary notices, copyright notices, or trademarks on the Platform
  6. Use the Platform for any commercial purpose without our prior written consent
  7. Frame, mirror, or create deep links to any part of the Platform
  8. Use the Platform in any manner that could interfere with, disrupt, or negatively affect the Platform or other Users

5.3 Reservation of Rights

All rights not expressly granted to you in these Terms are reserved by Elodos. Nothing in these Terms shall be construed as granting any rights to you by implication, estoppel, or otherwise.

6. User Representations and Warranties

6.1 General Representations

By using the Platform, you represent and warrant that:

  1. You meet all eligibility requirements set forth in Section 3
  2. You act knowingly, voluntarily, and without negligence
  3. You are legally permitted to travel and participate in the relevant activity
  4. You possess valid and lawful documentation, including passports, visas, permits, and satisfy entry and exit requirements of all relevant jurisdictions
  5. You are not engaged in terrorist activities, criminal enterprises, or unlawful conduct
  6. You are not a sex offender and are not listed on any sex offender registry or equivalent database in any jurisdiction
  7. You will not use the Platform to hide, misrepresent, facilitate foul play, or cause harm to any person
  8. You understand and will comply with all travel rules, airline policies, immigration requirements, customs laws, and laws of the land at all times
  9. You accept participation entirely at your own risk and understanding
  10. You are not a Commercial Operator, Proxy User, or acting on behalf of any commercial enterprise
  11. All information you provide is accurate, complete, and not misleading
  12. You will use the Platform only for Authorized Use and Non-Commercial Use

6.2 Mutual Transparency Obligation

All Users acknowledge and agree to deal with one another transparently and in good faith, sharing all material information relevant to safety, legality, and compliance, and shall not withhold information that could reasonably affect lawful participation or the safety of any person.

7. Anti-Money Laundering, Sanctions, and Compliance

7.1 AML and Illicit Use Prohibition

These obligations apply to all Users without exception. The Platform must not be used for:

  1. Money laundering or terrorist financing
  2. Sanctions evasion or dealings with Sanctioned Persons
  3. Fraud, tax evasion, or any other illegal or illicit purpose
  4. Concealing, disguising, transferring, or facilitating the proceeds of crime or any unlawful activity
  5. Circumventing any currency controls or reporting requirements

7.2 Sanctions Compliance

Users must not use the Platform to transact with, or for the benefit of, any Sanctioned Person. Users acknowledge that Elodos may be required to report suspicious activities to relevant authorities and may share User information where required by law. Elodos may screen Users against applicable sanctions lists without prior notice.

7.3 Export Controls

Users are solely responsible for compliance with all applicable export control laws and regulations. The Platform must not be used to facilitate the export or re-export of controlled goods, technology, or services in violation of such laws.

7.4 Reporting Obligations

Elodos complies with all applicable anti-money laundering and counter-terrorism financing laws. Users consent to Elodos filing suspicious activity reports and sharing information with relevant authorities as required by law, without notice to the User.

8. Role-Specific Terms: Lancer (Parcel)

8.1 Lancer Warranties

A Lancer requesting Parcel transportation confirms and warrants that:

  1. They are acting in their personal capacity and not as a Commercial Operator or Proxy User
  2. The Parcel is of a personal nature and not commercial goods intended for resale or business purposes
  3. The Parcel has been truthfully, accurately, and fully declared
  4. The Parcel does not contain any Prohibited Items as defined in Schedule A
  5. The Parcel complies with all applicable customs, export control, import regulations, airline policies, sanctions regimes, and security requirements of all relevant jurisdictions
  6. The Lancer has the legal right to send the Parcel and that it does not infringe any third-party rights
  7. All required customs declarations, licenses, permits, and documentation have been obtained

8.2 Lancer Responsibilities

The Lancer accepts full and sole responsibility for:

  1. The accuracy of all Parcel declarations and descriptions
  2. Compliance with all Applicable Laws regarding the Parcel
  3. Any customs duties, taxes, fines, or penalties arising from the Parcel
  4. Appropriate packaging to prevent damage during transit
  5. Indemnifying the Amigo and Elodos for any losses arising from misdeclaration or prohibited contents
  6. Any claims, liabilities, losses, damages, or expenses (including legal costs) incurred by Elodos arising from or in connection with the Parcel or its transportation.
  7. All risks associated with the transportation, including but not limited to loss, damage, seizure, confiscation, regulatory action, and delay of the Parcel

8.3 Consequences of Misdeclaration

Any misrepresentation, under-declaration, omission, or false statement regarding a Parcel shall constitute a material breach of these Terms and may result in immediate Account termination, criminal and civil liability, legal action by Elodos, and reporting to relevant authorities. Elodos bears no responsibility for such consequences.

9. Role-Specific Terms: Amigo (Parcel)

9.1 Nature of Service

An Amigo carries Parcels voluntarily, informally, and without any professional or commercial obligation. Any offline financial arrangement shall be between the Amigo and Lancer only and ELODOS shall bear no responsibility relating to such an arrangement. The Amigo is not a courier, logistics provider, freight forwarder, customs broker, or agent of Elodos or the Lancer. The Amigo must be travelling for their own personal purposes and not operating as part of any commercial enterprise.

9.2 Amigo Rights

The Amigo may, at their sole discretion and without notice:

  1. Request to open, inspect, or photograph the Parcel before acceptance
  2. Refuse to carry any Parcel for any reason whatsoever
  3. Abandon, surrender, or dispose of the Parcel at any time, including by handing it to customs, airport security, or law enforcement authorities
  4. Withdraw from any User Agreement prior to departure
  5. Report any Suspicious Activity or concerns to Elodos or relevant authorities

9.3 Amigo Responsibilities

An Amigo must:

  1. Act in good faith and with reasonable care during the agreed transportation
  2. Not knowingly transport Prohibited Items
  3. Comply with all airline, customs, and immigration requirements
  4. Report any concerns about the Parcel contents to relevant authorities if necessary

9.4 Limitation of Amigo Liability

The Amigo bears no liability whatsoever for loss, damage, delay, seizure, confiscation, or non-delivery of the Parcel, regardless of cause, except in cases of the Amigo's gross negligence or willful misconduct.

9.5 Independent Action and No Agency

The Amigo acts entirely on their own account and at their own risk when carrying any Parcel. The Amigo is not an agent, employee, contractor, partner, or representative of Elodos for any purpose whatsoever. Nothing in these Terms or any User Agreement shall be construed as creating any relationship of agency, employment, or partnership between Elodos and any Amigo. Elodos has no authority to direct, control, or supervise the manner in which an Amigo carries out any transportation, and Elodos accepts no vicarious or derivative liability for the acts or omissions of any Amigo.

10. Role-Specific Terms: Lancer (Travel Companion)

10.1 Purpose of Travel Companion Service

The Lancer confirms that any Request for a Travel Companion is solely for the purpose of moral support and companionship during travel. The Lancer acknowledges that the Amigo does not act as a caregiver, guardian, escort, medical professional, supervisor, or assume any duty of care.

10.2 Prohibited Uses

The Travel Companion service must not be used for:

  1. Children under the age of twelve (12) years travelling unaccompanied (subject to the exception in Section 10.4 below)
  2. Vulnerable adults requiring supervision or safeguarding
  3. Individuals requiring medical, physical, or personal care
  4. Any person lacking valid travel documentation
  5. Any purpose intended to bypass airline, immigration, or border control requirements
  6. Any commercial or business purpose

10.3 Lancer Responsibilities

The Lancer remains solely responsible for all travel documentation, visas, insurance, health requirements, and compliance with immigration, border control, airline, and local laws for themselves and any person for whom the companion request is made.

10.4 Exception for Accompanied Children

Notwithstanding Section 10.2, an Amigo may compassionately support or assist as a Travel Companion for children under the age of twelve (12) years, subject to the following mandatory conditions:

  1. The child must be accompanied by at least one parent (father or mother) or a legally permitted guardian throughout the entire journey
  2. The child must possess valid and authorised travel documentation
  3. Where the child is accompanied by a guardian (other than a parent), the guardian must possess a signed authorization letter from the parent(s), along with copies of the parent(s) photo identification and contact details
  4. The parent or guardian retains full and sole responsibility for the child at all times
  5. The Amigo provides assistance only and does not assume any caregiving, supervisory, or protective role for the child

Examples of permitted scenarios include:

  1. A newborn baby travelling with the mother on a long-haul flight, where the mother requires assistance from a co-passenger (Amigo) with luggage handling, meals, or general support
  2. A child (such as a 10-year-old) travelling with a grandparent or other authorised guardian from one location to another, where the guardian possesses a valid travel document and a signed authorization letter from the parent(s) with their photo identification and contact details

The Amigo shall bear no liability whatsoever for the child's safety, welfare, health, or conduct, which remains solely the responsibility of the accompanying parent or guardian.

11. Role-Specific Terms: Amigo (Travel Companion)

11.1 Nature of Service

The Amigo provides travel companionship strictly for moral support only and does not assume any caregiving, supervisory, fiduciary, or protective role.

11.2 Amigo Rights

The Amigo may withdraw, separate, or terminate the companionship at any time, for any reason, and without liability.

11.3 Limitation of Amigo Liability

The Amigo bears no responsibility or liability for the conduct, safety, health, legal compliance, or documentation of the Lancer or any third party during travel.

12. Role Flexibility and Non-Exclusivity

Any registered and logged-in User may create Requests as a Lancer and/or accept Requests as an Amigo. Roles are situational and non-exclusive. Acting in one role does not prevent a User from acting in the other role simultaneously or in the future. All restrictions regarding Non-Commercial Use and prohibition of Commercial Operators apply equally to both roles.

13. Fees, Payments, and Charging Model

13.1 Fee Structure

Elodos may charge the following types of fees:

  1. Connection Fees: charged when a Lancer and Amigo agree to connect through the Platform
  2. Request Creation Fees: charged for creating or posting a Request, which may apply to Lancers or Amigos
  3. Service Fees: any other fees for Platform Services as determined by Elodos
  4. Premium Feature Fees: fees for optional enhanced features or services

All applicable fees will be clearly displayed before any transaction or action is confirmed, and the amount will be disclosed prior to User commitment.

13.2 Payment Processing

Payments are processed through secure third-party payment providers. By making a payment, you agree to the payment provider's terms and conditions. Elodos is not responsible for any errors, failures, or unauthorized transactions caused by the payment provider. Users are responsible for ensuring their payment method is valid and has sufficient funds.

13.3 Currency and Exchange Rates

All fees are quoted in British Pounds (GBP) unless otherwise specified. Where payments are made in other currencies, exchange rates will be determined by the payment provider, and any currency conversion costs are the User's responsibility.

13.4 Refund Policy

Fees are generally non-refundable once a transaction has been initiated or a service has been provided. Refunds may be considered at Elodos's sole discretion in the following limited circumstances:

  1. Technical errors causing duplicate charges, verified by Elodos
  2. Failure to deliver Platform Services due solely to Elodos's fault
  3. Where required by mandatory provisions of Applicable Laws, including consumer protection laws

Refund requests must be submitted within fourteen (14) days of the transaction date. Elodos reserves the right to deny refund requests that do not meet the above criteria.

13.5 No Hidden Charges

Elodos will not charge any fees that have not been clearly disclosed to the User before the relevant action or transaction. All fees, charges, and costs will be transparently displayed on the Platform.

13.6 Taxes

Users are solely responsible for any taxes, duties, or levies arising from their use of the Platform or their User Agreements. Elodos does not provide tax advice and Users should consult their own tax advisors.

13.7 Fee Modification and Emergency Changes

Elodos reserves the right to modify, introduce, or discontinue any fees at any time.

STANDARD FEE CHANGES: For standard modifications to the fee structure, Elodos intends to provide reasonable prior notice (typically thirty (30) days) through the Platform, email, or other reasonable means. Changes will not affect transactions already in progress at the time of the change.

EMERGENCY FEE CHANGES WITHOUT NOTICE: Notwithstanding the above, Elodos reserves the absolute right to modify, introduce, suspend, or discontinue fees IMMEDIATELY AND WITHOUT PRIOR NOTICE in the following circumstances:

  1. Detection of Suspicious Activity, fraud, or abuse by Users
  2. Cyber Security Incidents affecting the Platform
  3. Non-commercial Users exploiting the Platform for commercial purposes
  4. Commercial Operators or Proxy Users attempting to use the Platform
  5. Coordinated abuse or manipulation of Platform systems
  6. Any situation where Elodos reasonably believes immediate action is necessary to protect the Platform, Users, or third parties
  7. Regulatory requirements or legal obligations requiring immediate implementation
  8. Force Majeure Events affecting Platform operations

Users acknowledge and accept that emergency fee changes may be implemented without prior notice and that continued use of the Platform after such changes constitutes acceptance of the modified fees.

13.8 Late Payment and Recovery Costs

If any payment is not received when due, Elodos may suspend access to the Platform until payment is received. Elodos reserves the right to charge interest on overdue amounts at the rate of 4% above the Bank of England base rate and to recover any reasonable costs incurred in collecting overdue payments, including legal fees.

14. Intellectual Property Rights

14.1 Elodos Intellectual Property

All Intellectual Property Rights in the Platform, including the software, code, design, graphics, user interface, trademarks, logos, and content provided by Elodos, are owned by or licensed to Elodos. Nothing in these Terms transfers any ownership rights to Users. Elodos's trademarks, service marks, and logos may not be used without prior written permission.

14.2 User Content Ownership

Users retain ownership of their original Content. You acknowledge that posting Content on the Platform does not transfer ownership of such Content to Elodos.

14.3 License Grant to Elodos

By posting, uploading, or submitting Content to the Platform, you grant Elodos a worldwide, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, host, store, display, reproduce, modify, adapt, translate, publish, distribute, and create derivative works from such Content for the following purposes:

  1. Operating, maintaining, and improving the Platform
  2. Providing Platform Services to you and other Users
  3. Complying with legal obligations and cooperating with authorities
  4. Promoting the Platform (with anonymization where appropriate)
  5. Analyzing usage patterns and improving user experience
  6. Preventing fraud, abuse, and violation of these Terms

This license continues even after you cease using the Platform or delete your Account, to the extent necessary for the purposes stated above.

14.4 User Warranties Regarding Content

By posting Content, you represent and warrant that:

  1. You own or have all necessary rights and permissions to post the Content
  2. The Content does not infringe any third-party Intellectual Property Rights
  3. The Content does not violate any Applicable Laws or these Terms
  4. The Content is accurate and not misleading
  5. You have obtained all necessary consents from individuals depicted in the Content

14.5 Content Removal

Elodos reserves the right to remove any Content that violates these Terms or Applicable Laws, or that we determine, in our sole discretion, is harmful, offensive, infringing, or otherwise objectionable. Users may request removal of their Content by contacting Elodos, subject to legal retention requirements.

14.6 Feedback

Any feedback, suggestions, or ideas you provide to Elodos regarding the Platform become the property of Elodos, and you waive any rights therein. Elodos may use such feedback without obligation to you.

15.1 Privacy Policy

Our Privacy Policy, available on the Platform, explains how we collect, use, store, protect, and share Personal Data and User Data. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.

15.2 Cookies and Tracking Technologies

ELODOS uses cookies and similar tracking technologies to enhance your experience on the Platform, analyze usage patterns, and provide personalized services. By using the Platform, you consent to our use of cookies in accordance with our Cookie Policy, which forms part of these Terms.

Types of cookies we use:

  1. Essential cookies: Required for Platform functionality and security (no consent required)
  2. Analytics cookies: Help us understand Platform usage and improve services (consent required)
  3. Preference cookies: Remember your settings and choices (consent required)
  4. Marketing cookies: Enable targeted advertising and promotional content (consent required)

You can manage your cookie preferences at any time through our cookie consent banner or by visiting the cookie settings in your Account. You may withdraw consent for non-essential cookies without affecting the lawfulness of processing based on consent before withdrawal. Disabling certain cookies may impact Platform functionality.

We comply with the Privacy and Electronic Communications Regulations 2003 (PECR), as amended, and the ICO's guidance on cookies and similar technologies.

15.3 Data Controller

Elodos (Omega Om Ltd) is the data controller for Personal Data processed through the Platform for the purposes of the UK GDPR, EU GDPR, and Data Protection Act 2018.

15.4 Legal Basis for Processing

We process Personal Data on the following legal bases:

  1. Performance of a contract (to provide Platform Services to you)
  2. Compliance with legal obligations (including fraud prevention and regulatory reporting)
  3. Legitimate interests (to improve and secure the Platform, prevent fraud, and protect our rights)
  4. Consent (for marketing communications and optional services, where applicable)

15.5 Your Data Rights

Under the Data Protection Laws, you have certain rights including the right to access, rectify, erase, restrict processing, data portability, object to processing, and withdraw consent. To exercise these rights, contact us at privacy@elodos.com. We will respond to valid requests within the timeframes required by Applicable Laws.

15.6 International Data Transfers

Your Personal Data may be transferred to and processed in countries outside the UK, European Economic Area, and India. Where such transfers occur, we ensure appropriate safeguards are in place, including standard contractual clauses approved by the UK Information Commissioner's Office and European Commission, adequacy decisions, or other legally recognized mechanisms.

15.7 Data Retention

We retain Personal Data and User Data only for as long as necessary to fulfill the purposes for which it was collected, to comply with legal obligations, resolve disputes, enforce our agreements, and as required for legitimate business purposes. Specific retention periods are detailed in our Privacy Policy.

15.8 Complaints Handling Procedure

In accordance with the Data (Use and Access) Act 2025, ELODOS has implemented a mandatory complaints handling procedure for data protection matters:

  1. Users may submit data protection complaints by email to privacy@elodos.com or through the Platform's designated complaints portal
  2. ELODOS will acknowledge receipt of complaints within 3 business days
  3. We will investigate and respond substantively to all data protection complaints within 30 days of receipt, as required by the DUAA
  4. If we require additional time to investigate complex matters, we will notify you within the initial 30-day period and provide an expected resolution timeframe
  5. Users retain the right to lodge a complaint with the Information Commissioner's Office if dissatisfied with our response

15.9 Data Breach Procedures

Elodos's Obligations:

In the event of a Data Breach affecting User Data or Personal Data, Elodos will:

  1. Take immediate steps to contain and investigate the breach
  2. Notify the relevant supervisory authority (such as the UK ICO) within the timeframes required by Applicable Laws (typically 72 hours)
  3. Notify affected Users without undue delay where the breach is likely to result in a high risk to their rights and freedoms
  4. Document the breach and remediation steps
  5. Take reasonable steps to mitigate the effects of the breach

Limitation of Liability for Data Breaches:

While ELODOS implements reasonable technical and organizational security measures, Users acknowledge that no system is completely secure. Elodos's liability for Data Breaches shall be limited where the breach results from:

  1. User negligence, including failure to maintain secure credentials
  2. Unauthorized access resulting from User disclosure of credentials
  3. Attacks or vulnerabilities beyond industry-standard security measures
  4. Actions of third-party service providers acting outside ELODOS's control
  5. Force Majeure Events

15.10 Children's Data Protection

Given that the Platform permits children under twelve (12) years to use Travel Companion services when accompanied by a parent or guardian (as set out in Section 10.4), ELODOS acknowledges its obligations under the Data (Use and Access) Act 2025 and the ICO's Age Appropriate Design Code. ELODOS shall:

  1. Conduct a comprehensive children's data protection impact assessment (DPIA) to identify and mitigate risks to children's rights and freedoms
  2. Implement age-appropriate design measures throughout the Platform, ensuring the best interests of child Users are a primary consideration
  3. Default to the highest privacy settings for any User identified or likely to be a child
  4. Not use children's Personal Data for profiling, behavioural advertising, or marketing purposes
  5. Provide prominent, age-appropriate privacy information that children can understand, including child-friendly privacy notices
  6. Minimize the collection and retention of children's Personal Data to what is strictly necessary for Platform Services
  7. Implement parental controls and consent mechanisms where required by Applicable Laws
  8. Ensure that any third-party services integrated with the Platform also comply with children's data protection requirements
  9. Regularly review and update children's data protection measures in line with evolving regulatory guidance and best practices

15.11 Enhanced Purpose Limitation

In compliance with the enhanced purpose limitation rules under the Data (Use and Access) Act 2025, ELODOS will only process Personal Data for the specific purposes notified to Users at the time of collection or as subsequently agreed. Any material change in processing purposes will require fresh consent or another appropriate legal basis under the DUAA.

15.12 Regulatory Enforcement

Users acknowledge that under the Data (Use and Access) Act 2025, the Information Commissioner's Office has enhanced enforcement powers, including the ability to impose fines of up to �17.5 million or 4% of global annual turnover (whichever is higher) for breaches of the Privacy and Electronic Communications Regulations 2003, in addition to existing GDPR penalties.

15.13 Additional Data Uses

In addition to the data uses described in the Privacy Policy, Elodos may use aggregated, anonymized, or pseudonymized User Data for analytics, insights, service improvement, fraud prevention, and business intelligence purposes. Elodos may also, in compliance with Applicable Laws, share limited and relevant data with selected third-party partners to facilitate promotional offers, benefits, or services. Elodos does not control, endorse, or assume responsibility for such third-party partners' products, services, or conduct.

16. Disclaimer of Warranties

16.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ELODOS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT THAT NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT ANY STATUTORY RIGHTS THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAWS, INCLUDING THE CONSUMER RIGHTS ACT 2015 (UK), CONSUMER PROTECTION LEGISLATION IN THE EU, AND EQUIVALENT LEGISLATION IN OTHER JURISDICTIONS.

16.2 No Guarantees

Elodos does not warrant or guarantee that:

  1. The Platform will be uninterrupted, timely, secure, or error-free
  2. The results obtained from using the Platform will be accurate or reliable
  3. Any errors in the Platform will be corrected
  4. The Platform will meet your specific requirements
  5. The Platform will be compatible with all devices or software
  6. Any User Agreement will be successfully completed

16.3 User Interactions

Elodos makes no representations or warranties regarding the identity, reliability, trustworthiness, or conduct of any User. You acknowledge that interactions with other Users are entirely at your own risk.

16.4 Consumer Rights

Nothing in these Terms affects any statutory rights that cannot be excluded or limited under Applicable Laws, including the Consumer Rights Act 2015 (UK), consumer protection legislation in the EU, and equivalent legislation in other jurisdictions.

17. Limitation of Liability

17.1 Exclusion of Certain Damages

To the maximum extent permitted by Applicable Law, Elodos, its directors, officers, employees, agents, and affiliates shall not be liable for:

  1. Any indirect, incidental, special, consequential, punitive, or exemplary damages
  2. Loss of profits, revenue, business, goodwill, or anticipated savings
  3. Loss of or damage to data (except as required by Data Protection Laws)
  4. Any loss, damage, injury, death, or harm arising from User Agreements or interactions between Users
  5. Any loss, damage, seizure, confiscation, or delay of Parcels
  6. Any regulatory action, fine, penalty, or prosecution arising from User conduct
  7. Any loss arising from Cyber Security Incidents, except to the extent caused by Elodos's gross negligence
  8. Any loss arising from Force Majeure Events
  9. Any consequential, incidental, or indirect loss suffered by any User or third party arising from the failure, delay, or non-performance of any User Agreement for Parcel transportation or Travel Companion services
  10. Any regulatory action, fine, penalty, prosecution, customs duty, tax, or levy imposed on any User in connection with the transportation of a Parcel or non-compliance with Applicable Laws by any User
  11. Any loss, damage, injury, death, claim, liability, or expense whatsoever arising from or in connection with the physical transportation, carriage, handling, storage, or delivery of any Parcel by any User, whether as a Lancer or Amigo

17.2 Cap on Liability

Subject to Section 17.3, Elodos's total aggregate liability to any User for all claims arising out of or relating to these Terms or the Platform shall not exceed the LOWER of:

  1. One hundred British Pounds (GBP 100); or
  2. The total fees paid by that User to ELODOS in the twelve (12) months preceding the claim.

17.3 Non-Excludable Liability

Nothing in these Terms shall exclude or limit liability for:

  1. Death or personal injury caused by negligence
  2. Fraud or fraudulent misrepresentation
  3. Any other liability that cannot be excluded or limited by Applicable Law, including certain Data Protection Law obligations

17.4 Platform Disclaimer

Elodos bears no responsibility or liability whatsoever for any damage, harm, loss, claim, injury, death, regulatory action, or illegal activity performed by any User, whether acting as a Lancer or Amigo.

In particular, and without limitation to the generality of the foregoing, Elodos shall not be liable for any loss, damage, destruction, seizure, confiscation, delay, misdelivery, or non-delivery of any Parcel transported through arrangements facilitated by the Platform, regardless of the cause, including but not limited to the negligence, misconduct, or breach of Applicable Laws by users. The exclusive responsibility and liability for such matters rests with the relevant Lancer and/or Amigo.

17.5 Acknowledgment of Risk

You acknowledge that the Platform facilitates connections between strangers and that inherent risks exist in such interactions. You accept sole responsibility for evaluating the suitability of any User or transaction and for taking appropriate precautions.

18. Indemnification

18.1 User Indemnification

To the fullest extent permitted by Applicable Law, you agree to indemnify, defend, and hold harmless Elodos, its parent company, subsidiaries, affiliates, directors, officers, employees, contractors, agents, licensors, service providers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable legal fees and expenses) arising out of or in connection with:

  1. Your access to or use of the Platform
  2. Your breach of these Terms or any representation, warranty, or obligation herein
  3. Any User Agreement or interaction between you and another User
  4. Any Parcel sent, carried, declared, misdeclared, seized, delayed, lost, or damaged
  5. Any violation of Applicable Laws by you
  6. Any Content you submit through the Platform
  7. Any allegation of negligence, misconduct, fraud, misrepresentation, or criminal act by you
  8. Any injury, illness, death, loss, or damage suffered by you or any third party in connection with use of the Platform
  9. Any infringement of third-party Intellectual Property Rights by your Content or conduct
  10. Any Data Breach caused by your negligence or breach of these Terms
  11. Any fine, penalty, duty, tax, or regulatory sanction imposed on Elodos as a result of your transportation of any Parcel, your non-compliance with customs or export control regulations, or your breach of any Applicable Laws in connection with the use of the Platform
  12. Any claim, demand, action, or proceeding by any third party (including government authorities, customs agencies, airlines, or other Users) arising from or in connection with the transportation, carriage, handling, or delivery of any Parcel by you or on your behalf

18.2 Limitations on Indemnification for Consumers

For Users who are consumers (as defined under the Consumer Rights Act 2015 or equivalent consumer protection legislation):

  1. The indemnification obligation in Section 18.1 shall only apply to losses directly caused by the User's breach of these Terms, violation of Applicable Laws, or negligent or wrongful acts
  2. The indemnification obligation shall not apply where ELODOS's own negligence, breach of contract, or breach of statutory duty has contributed to or caused the loss
  3. The total amount of any indemnification by a consumer User shall not exceed the lower of: (i) �100; or (ii) the total fees paid by that User to Elodos in the twelve (12) months preceding the claim
  4. Nothing in this Section 18 shall affect or limit any statutory rights that consumers have under the Consumer Rights Act 2015 or other applicable consumer protection legislation that cannot be excluded or limited by contract

18.3 Defence and Control

Elodos reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with such defence and not settle any claim without Elodos's prior written consent.

18.4 Survival

This indemnification obligation shall survive termination or expiration of these Terms.

19. Termination

19.1 Termination by User

You may terminate your Account at any time by following the account closure process on the Platform or by contacting us at support@elodos.com. You remain liable for any obligations incurred prior to termination.

19.2 Termination by Elodos

With Notice:

Elodos may terminate your Account with reasonable notice (typically fourteen (14) days) for operational reasons, including discontinuation of the Platform or changes to business operations.

Without Notice:

Elodos may suspend or terminate your Account and access to the Platform IMMEDIATELY, WITHOUT PRIOR NOTICE OR LIABILITY, for any of the following reasons:

  1. Breach of these Terms
  2. Violation of Applicable Laws
  3. Fraudulent, misleading, or harmful conduct
  4. Suspicious Activity or suspected fraud
  5. Identification as a Commercial Operator, Proxy User, or representative of a commercial enterprise
  6. Use of the Platform for commercial purposes or on behalf of any business
  7. Upon request by law enforcement or other government agencies
  8. Cyber Security Incident or security threat associated with your Account
  9. Multiple Account violations or identity fraud
  10. Abuse of refund policies or Platform systems
  11. Failure to complete required identity verification
  12. Extended periods of inactivity (typically twelve (12) months)
  13. Any other reason where Elodos reasonably believes termination is necessary to protect the Platform, Users, or third parties

19.3 Effect of Termination

Upon termination:

  1. Your right to access and use the Platform ceases immediately
  2. Any pending transactions may be cancelled without refund
  3. Your Account data will be handled in accordance with our Privacy Policy and Data Protection Laws
  4. Provisions that by their nature should survive termination shall survive, including Sections 14, 15, 16, 17, 18, 23, and 24

19.4 Data Handling Post-Termination

Upon termination, Elodos will:

  1. Retain User Data as required by Applicable Laws and for legitimate business purposes (such as fraud prevention and dispute resolution)
  2. Delete or anonymize Personal Data that is no longer required, in accordance with our Privacy Policy
  3. Provide data export upon request, where required by Data Protection Laws, prior to final account deletion
  4. Retain aggregated or anonymized data indefinitely for analytical purposes

Users should export any data they wish to retain before requesting account closure.

20. Force Majeure

20.1 Definition and Scope

A Force Majeure Event includes, without limitation:

  1. Acts of God, including earthquakes, floods, fires, storms, and other natural disasters
  2. Pandemic, epidemic, or public health emergency
  3. War, armed conflict, terrorism, or threat thereof
  4. Riots, civil unrest, insurrection, or public disorder
  5. Strikes, lockouts, or industrial action (other than involving Elodos's own employees)
  6. Government actions, including new legislation, regulations, sanctions, embargoes, or restrictions
  7. Power failures, energy shortages, or utility outages
  8. Internet or telecommunications failures affecting wide geographic areas
  9. Cyber Security Incidents affecting critical infrastructure, including major cloud service providers
  10. Supply chain disruptions affecting technology infrastructure
  11. Any other circumstances beyond the reasonable control of Elodos

20.2 Effect of Force Majeure

Elodos shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from a Force Majeure Event.

20.3 Extended Force Majeure Events

If a Force Majeure Event prevents Elodos from performing its obligations for more than thirty (30) consecutive days:

  1. Elodos will use reasonable efforts to resume services as soon as practicable
  2. Elodos may suspend certain Platform features or services during the event
  3. Either party may terminate these Terms upon written notice if the event continues for more than sixty (60) consecutive days
  4. No refunds shall be due for service disruptions caused by Force Majeure Events

20.4 User Obligations During Force Majeure

During a Force Majeure Event, Users remain responsible for their own safety and compliance with Applicable Laws. Elodos is not responsible for any User Agreements disrupted by Force Majeure Events.

21. Third-Party Services and Links

21.1 Third-Party Services

The Platform may integrate with or contain links to third-party websites, applications, or services ("Third-Party Services"). These Third-Party Services are subject to their own terms and conditions and privacy policies.

21.2 Disclaimer

Elodos does not endorse, control, or assume any responsibility for Third-Party Services. Your use of any Third-Party Services is at your own risk. Elodos is not liable for any losses arising from your use of Third-Party Services.

22. Changes to These Terms

22.1 Right to Modify

Elodos reserves the right to modify these Terms at any time to reflect changes in our services, legal requirements, business practices, or for any other reason.

22.2 Standard Notification Process

For standard, non-urgent changes:

  1. We will provide notice of material changes through the Platform, by email to your registered address, or by other reasonable means
  2. For material changes that significantly affect your rights or obligations, we will provide at least thirty (30) days' notice before the changes take effect
  3. The updated Terms will be posted on the Platform with the effective date clearly indicated

22.3 Acceptance of Changes

Your continued use of the Platform after any modifications to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your Account before the changes take effect.

22.4 Emergency Changes Without Notice

Notwithstanding the above notification process, Elodos reserves the right to modify these Terms IMMEDIATELY AND WITHOUT PRIOR NOTICE in the following circumstances:

  1. To address urgent security vulnerabilities or Cyber Security Incidents that pose immediate risk to User Data or Platform integrity.
  2. To respond to active fraudulent activity or ongoing security threats requiring immediate action
  3. To prevent exploitation of the Platform by Commercial Operators or Proxy Users
  4. To comply with urgent legal or regulatory requirements where delay would result in legal violation
  5. To respond to Force Majeure Events
  6. To protect the immediate safety of Users or third parties from imminent harm
  7. To prevent imminent and irreparable harm to Elodos's systems or operations

In such genuine emergency cases, we will notify Users of the changes as soon as reasonably practicable after implementation, providing a clear explanation of the emergency circumstances that necessitated immediate action.

22.5 User Rights Following Emergency Changes

If emergency changes materially disadvantage Users, affected Users shall have the right to terminate their Account without penalty within thirty (30) days of notification of such changes. ELODOS will maintain a clear change log on the Platform detailing all emergency modifications, the date implemented, and the specific emergency circumstances that justified immediate action.

22.6 User Consent

By creating an Account and accepting these Terms, you consent to receive notifications of changes electronically. You are responsible for regularly reviewing these Terms. If you require a paper copy of these Terms, you may request one by contacting legal@elodos.com.

23. Governing Law and Dispute Resolution

23.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

23.2 Informal Resolution

Before initiating any formal dispute resolution procedure, you agree to first contact us at legal@elodos.com and attempt to resolve the dispute informally. Most concerns can be resolved this way. The informal resolution period shall be thirty (30) days from the date of your initial contact.

23.3 Arbitration

If informal resolution is unsuccessful after the thirty (30) day period, any dispute arising out of or relating to these Terms shall be finally resolved by binding arbitration administered by the London Court of International Arbitration (LCIA) in accordance with its Arbitration Rules.

  1. The seat of arbitration shall be London, United Kingdom
  2. The language of arbitration shall be English
  3. The arbitration shall be conducted by a single arbitrator appointed in accordance with LCIA Rules
  4. The arbitral award shall be final and binding on the parties
  5. Judgment on the award may be entered in any court having jurisdiction

23.4 Court Fallback

Notwithstanding the arbitration provision:

  1. Either party may seek interim or injunctive relief in the courts of England and Wales to preserve the status quo pending arbitration
  2. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its Intellectual Property Rights
  3. Elodos may bring proceedings in any court of competent jurisdiction to recover amounts due from Users
  4. For claims below GBP 10,000, parties may elect to proceed through the courts instead of arbitration

23.5 Class Action Waiver

To the extent permitted by Applicable Law, you agree to waive any right to participate in a class action, collective action, or representative proceeding against Elodos. Any dispute resolution shall be conducted on an individual basis.

23.6 Consumer Rights

If you are a consumer, nothing in this Section shall affect your statutory rights, including any right to bring a claim in the courts of your country of residence or to benefit from any mandatory consumer protection provisions of your local laws that cannot be waived by contract.

23.7 Time Limitation

Any claim or cause of action arising out of or relating to these Terms or the Platform must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, except where such limitation is prohibited by Applicable Law.

24. General Provisions

24.1 Entire Agreement

These Terms, together with the Privacy Policy and any other documents incorporated by reference, constitute the entire agreement between you and Elodos regarding your use of the Platform and supersede all prior agreements, understandings, and representations.

24.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

24.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a continuing waiver or waiver of any other term or condition. Any failure by Elodos to assert a right or provision shall not constitute a waiver of such right or provision.

24.4 Assignment

You may not assign or transfer these Terms or your Account without Elodos's prior written consent. Any attempted assignment in violation of this provision shall be void. Elodos may assign these Terms without restriction to any affiliate or in connection with a merger, acquisition, or sale of assets.

24.5 No Third-Party Beneficiaries

These Terms do not confer any rights on any third party, except as expressly stated (including the Indemnified Parties under Section 18).

24.6 Notices

Notices to Elodos must be sent by email to legal@elodos.com or by post to the registered office address. Notices will be deemed received on the date of delivery if by hand, five (5) business days after posting if by mail, or on the date of transmission if by email. Notices to Users will be sent to the email address associated with their Account or through the Platform.

24.7 Language

These Terms are written in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency.

25. Electronic Communications

By using the Platform and providing your email address, you consent to receive electronic communications from Elodos, including notices, agreements, disclosures, and other communications. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

26. Platform Availability and Maintenance

Elodos does not guarantee that the Platform will be available at all times. We may suspend, withdraw, discontinue, or change all or any part of the Platform without notice. We will not be liable to you if for any reason the Platform is unavailable at any time or for any period. We may perform scheduled and unscheduled maintenance, during which the Platform may be unavailable.

27. International Users

The Platform is controlled and operated from the United Kingdom. If you access the Platform from outside the UK, you do so at your own risk and are responsible for compliance with local laws. Elodos makes no representation that the Platform is appropriate or available for use in all locations. Users in jurisdictions where use of the Platform would be illegal or restricted are prohibited from using the Platform.

28. Cyber Security

28.1 Security Measures

Elodos implements reasonable technical and organizational security measures to protect the Platform and User Data, including encryption, access controls, monitoring, and regular security assessments. Users can find further guidance on cyber security best practices at gov.uk/government/collections/cyber-security-guidance-for-business.

28.2 User Security Responsibilities

Users are responsible for:

  1. Maintaining the security of their login credentials and devices
  2. Using strong, unique passwords
  3. Enabling two-factor authentication where available
  4. Reporting any security concerns or unauthorized access immediately
  5. Keeping their devices and software up to date with security patches

28.3 Incident Response

In the event of a Cyber Security Incident, Elodos will take prompt action to contain the incident, investigate the cause, notify affected parties as required by Applicable Laws, and implement measures to prevent recurrence. Users shall cooperate with Elodos in any incident investigation.

Schedule A: Prohibited Items

This Schedule forms an integral and binding part of the Terms and Conditions.

The following items are strictly prohibited from being requested, transported, or carried through the Platform. This list is non-exhaustive, and Users must comply with all applicable airline, customs, and legal restrictions:

A.1 Weapons and Explosives

  • Firearms, ammunition, and firearm components
  • Explosives, blasting caps, detonators, and fireworks
  • Flares, signal devices, and pyrotechnics
  • Knives, swords, machetes, and other bladed weapons
  • Pepper spray, mace, and similar defensive sprays
  • Stun guns, tasers, and electroshock weapons

A.2 Controlled and Illegal Substances

  • Narcotics, illegal drugs, and psychotropic substances
  • Prescription medications without valid prescription
  • Drug paraphernalia
  • Precursor chemicals for drug manufacturing

A.3 Hazardous Materials

  • Flammable liquids, gases, and solids
  • Corrosive substances (acids, alkalis)
  • Toxic and infectious substances
  • Radioactive materials
  • Oxidizers and organic peroxides
  • Compressed gases (except as permitted by airlines)
  • Poisons and venomous substances

A.4 Biological and Organic Materials

  • Live animals (except as permitted by specific regulations)
  • Human remains or body parts
  • Perishable food items requiring refrigeration
  • Plants, seeds, and soil (subject to phytosanitary regulations)
  • Biological samples and specimens

A.5 Currency and High-Value Items

  • Cash, currency, and monetary instruments exceeding legal declaration limits
  • Counterfeit currency or documents
  • Precious metals and gemstones of significant value
  • Bearer instruments and negotiable securities
  • Gift cards and prepaid cards in bulk

A.6 Restricted Commercial Goods

  • Commercial samples or goods for resale misrepresented as personal items
  • Counterfeit, pirated, or trademark-infringing goods
  • Goods subject to import/export licenses without proper documentation
  • Sanctioned goods or goods from embargoed countries
  • Bulk quantities indicating commercial rather than personal use

A.7 Other Prohibited Items

  • Pornographic or obscene materials (where prohibited by law)
  • Items that infringe intellectual property rights
  • Cultural artifacts and antiquities protected by heritage laws
  • Protected wildlife products (ivory, exotic animal products)
  • Gambling devices (where prohibited)
  • Any item that is illegal under the Applicable Laws of country of origin, transit, or destination

IMPORTANT: Users must independently verify the legality of items in all relevant jurisdictions. This list is not exhaustive. Airlines, customs authorities, and local laws may impose additional restrictions. Elodos is not responsible for any consequences arising from transportation of prohibited items.

Schedule B: User Acknowledgment and Acceptance

By creating an Account or using the Platform, you acknowledge and confirm that:

  1. You have read, understood, and agree to be bound by these Terms and Conditions in their entirety, including all Schedules and documents incorporated by reference.
  2. You have read and understood the Privacy Policy and consent to the collection, use, and processing of your Personal Data as described therein.
  3. You understand that Elodos is a platform that facilitates connections between Users and is not a party to any User Agreement.
  4. You accept full responsibility for your conduct, your Content, and your compliance with Applicable Laws.
  5. You understand that interactions with other Users are at your own risk and that Elodos does not guarantee the identity, reliability, or conduct of any User.
  6. You understand and accept the limitations of liability and indemnification obligations set forth in these Terms.
  7. You consent to the resolution of disputes through binding arbitration as set forth in Section 23, subject to your statutory rights.
  8. You confirm that you meet all eligibility requirements set forth in Section 3.
  9. You agree to indemnify and hold harmless the Indemnified Parties as set forth in Section 18.
  10. You confirm that you are not a Commercial Operator, Proxy User, or acting on behalf of any commercial enterprise.
  11. You understand that the Platform is exclusively for peer-to-peer, non-commercial use by individual travellers.
  12. You acknowledge that Elodos may modify fees and Terms immediately and without notice in emergency situations as described in these Terms.
  13. You acknowledge that Elodos is an intermediary only and bears no liability for the physical transportation, carriage, or delivery of any Parcel, or bear any responsibility for the conduct, acts, omissions, negligence, or wilful misconduct of any user during Travel Companion services, which is the exclusive responsibility of the users and it at their own risk.
